To sign a contract online, upload it to an electronic signature platform, add each party and send it. Each signer accepts and signs from their phone or computer, and you end up with the contract plus proof of who signed and when. It is generally valid, unless the law requires a special form.

It works for commercial and sales contracts, service agreements, non-disclosure agreements or accepted quotes, among others. The useful question is not only whether you can sign online, but what happens if someone later says they did not sign. That is what this page is about.

When an electronic contract is valid

In Spain, Article 23 of Law 34/2002 sets out three key ideas:

  • An electronic contract has full effect if there is consent and the other validity requirements are met.
  • The parties do not need a prior agreement to use electronic means.
  • If the law requires it to be in writing, electronic form is enough.

Exceptions: that title does not apply to family and inheritance law contracts. Acts that by law require a public document or the involvement of a notary, registrar or authority are governed by their specific legislation. Some sectors also have their own rules: consult your adviser.

If you contract with companies in other countries, do not assume Spanish law applies. See the legal validity guides by country, paying particular attention to the law governing the contract.

Which electronic signature to use for a contract

The EU eIDAS Regulation distinguishes three levels. No single one is right for every contract: the amount, the risk, the other party and what the law requires all decide.

TypeWhen it usually fitsIts limit
SimpleLow-risk acceptances and agreements. It has effect and is admissible as evidence, but if disputed you will have to prove who signed and that the text did not change.
AdvancedContracts where identifying the signer and detecting changes matters (Art. 26).It is not legally equivalent to a handwritten signature.
QualifiedWhen a law or the other party requires it, or the risk justifies it.The only one equivalent to a handwritten signature (Art. 25.2). Requires a qualified certificate and a qualified device.

In SignaSuite you sign with the email link and an SMS code, with no certificate. If your contract requires a qualified signature, tell us before sending it. The full explanation is in the eIDAS electronic signature guide.

What proof remains if someone disputes the contract

  • Activity log: who took each action, when and from where.
  • Qualified timestamp: in the EU, the date and time it shows are presumed accurate and the linked data intact (Art. 41.2 of eIDAS).
  • Evidence report: downloaded with the signed contract and can be submitted in a dispute.

Frequently asked questions about signing contracts online

Is a contract signed online valid?

In Spain, a contract concluded electronically takes effect if there is consent and the other validity requirements are met (Art. 23 of Law 34/2002). There are exceptions, and other countries apply their own rules.

What is an electronic contract?

It is a contract concluded by electronic means rather than on paper. If the law requires it to be in writing, in Spain it is enough for it to be in electronic form. What a contract needs in order to be valid does not change: consent and the other validity requirements still apply.

Which contracts cannot be signed this way?

In Spain, Law 34/2002 excludes family and inheritance law contracts from its title on electronic contracting. Those that by law require a public document or the involvement of a notary, registrar or authority are governed by their specific legislation. If in doubt, consult your adviser.

Do I need a qualified signature for a contract?

It depends on the contract and the risk. eIDAS does not deny effect to a signature for not being qualified, but only a qualified signature is legally equivalent to a handwritten one. If a contract or a law requires it, talk to us before sending it.

Can several parties sign?

Yes. You add all the signers and decide whether they sign in a specific order or at the same time. Each one receives their link and the dashboard shows who has yet to sign. If they do not sign, you can resend reminders.

Does the other party need an account?

No. Signers do not need an account, a subscription or to install anything. Only the company sending the contract needs a paid account.
